User Agreement

1. Introduction

Welcome to Planted Inc.! This User Agreement (the “Agreement”) governs your access and use of our platform, including our website, mobile applications, and related services (collectively referred to as the “Platform”). By accessing or using the Platform, you agree to comply with this Agreement. If you do not agree with these terms, please do not use the Platform.

2. Eligibility

By using the Platform, you represent that:

• You are at least 21 years old, or the legal age required to use this service in your jurisdiction.
• You have the legal authority to enter into this Agreement.
• You are not prohibited from using the Platform under any applicable law.

If you are using the Platform on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement.

3. Account Registration

To use certain features of the Platform, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Keep your account information up-to-date.
• Maintain the confidentiality of your account credentials.
• Be responsible for all activities that occur under your account.
• Abide by the Platform Professional Community Policy and Hateful and Derogatory Content Policy.

You must immediately notify us if you suspect any unauthorized use of your account.

4. User Conduct

You agree not to engage in any of the following prohibited activities:

• Violating any applicable laws or regulations.
• Using the Platform for illegal, harmful, or fraudulent purposes.
• Posting, sharing, or distributing any content that is offensive, defamatory, harmful, abusive, obscene, or otherwise inappropriate.
• Harassing, threatening, or abusing others on the Platform.
• Impersonating any person or entity, or falsely claiming an affiliation with any person or entity.
• Posting or transmitting viruses, malware, or any harmful code.
• Using the Platform to send unsolicited commercial messages (“spam”).
• Engaging in any behavior that interferes with the proper operation of the Platform or its users’ experience.

5. Content Ownership and License

5.1. User-Generated Content

You retain ownership of any content, information, or materials that you post, upload, or otherwise make available on the Platform (“User Content”). However, by submitting User Content, you grant Planted Inc. a non-exclusive, royalty-free, worldwide, transferable, sub-licensable license to use, reproduce, modify, adapt, publish, distribute, and display your content for the purposes of operating, promoting, and improving the Platform.

You represent and warrant that you have all necessary rights to submit your User Content and that your User Content does not violate any third-party rights and adheres to the Platform Copyright Policy.

5.2. Platform Content

The content, features, and functionalities available on the Platform, including text, graphics, logos, icons, images, videos, software, and audio, are owned by Planted Inc. or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, or use any of this content without our express permission.

6. Privacy

Your privacy is important to us. Our use of your personal information is governed by our Privacy Policy, which is incorporated into this Agreement by reference. By using the Platform, you agree to the collection and use of your information in accordance with our Privacy Policy and associated California Consumer Privacy Act Policy.

7. Payments and Subscriptions

Certain features or services on the Platform may be available for a fee or subscription. By purchasing these services, you agree to provide valid payment information and authorize Planted Inc. to charge the applicable fees to your chosen payment method. Subscription fees are billed in advance and are non-refundable unless otherwise stated.

If you fail to pay any fees when due, we may suspend or terminate your access to paid features of the Platform.

8. Termination

We reserve the right to suspend or terminate your account and access to the Platform at our discretion, with or without notice, for any reason, including violation of this Agreement or if we believe your actions may harm the Platform or its users.

If your account is terminated, you will no longer have access to your User Content or other Platform services. We may also remove or delete your content upon termination.

9. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis. We make no warranties or representations of any kind, either express or implied, regarding the Platform, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. Your use of the Platform is at your own risk.

10. Limitation of Liability

To the fullest extent permitted by law, Planted Inc. and its affiliates, officers, employees, agents, licensors, and partners will not be liable for any indirect, incidental, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of or inability to use the Platform, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising out of or related to this Agreement or your use of the Platform is limited to the amount you paid us, if any, during the 12-month period preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Planted Inc., its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorney’s fees) arising from:

• Your use or misuse of the Platform.
• Your violation of this Agreement.
• Your violation of any rights of a third party, including intellectual property rights.

12. Third-Party Links

The Platform may contain links to third-party websites or services. These links are provided for convenience only, and we do not endorse or assume responsibility for any content, products, or services offered by third parties. You access third-party websites at your own risk, and their terms and conditions, as well as privacy policies, will apply.

13. Changes to This Agreement

We may update or modify this Agreement at any time by posting a revised version on the Platform. The updated Agreement will become effective on the date of posting, and your continued use of the Platform after such changes constitutes your acceptance of the new terms.

You are encouraged to review this Agreement periodically to stay informed of any changes.

14. Governing Law and Dispute Resolution

This Agreement is governed by the laws of Wyoming, without regard to its conflict of law principles. Any disputes arising from this Agreement, or your use of the Platform will be subject to the exclusive jurisdiction of the courts in Cheyenne, Wyoming.
